Terms of Service
Effective date: 4 April 2026
1. Agreement
These Terms of Service ("Terms") govern your use of Tessellant Engage ("the Service"), operated by Tessellant Pty Ltd (ACN 696 471 691) as trustee for the Tessellant Family Trust (ABN 23 943 834 841) ("Tessellant", "we", "us").
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Service Description
Tessellant Engage is a multi-tenant engagement planning platform where client organisations collaborate with Tessellant on identified opportunities, workflows, and projects. The Service provides an interactive board for tracking, prioritising, and scoping engagement items.
3. Access and Authentication
Access to the Service requires:
- A valid Microsoft 365 account within an organisation that has been provisioned by Tessellant.
- Provisioning is at Tessellant's sole discretion. The Service is not available for self-registration.
You are responsible for maintaining the security of your Microsoft 365 account credentials. Tessellant is not liable for unauthorised access resulting from compromised credentials.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Attempt to gain unauthorised access to other organisations' data or any part of the Service infrastructure.
- Interfere with or disrupt the Service, servers, or networks connected to the Service.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use automated tools to scrape, crawl, or extract data from the Service beyond what is provided through authorised interfaces.
5. Intellectual Property
Your Data
You retain ownership of all content you submit to the Service, including notes, comments, and descriptions ("Your Data"). You grant Tessellant a limited licence to use Your Data solely for the purpose of providing and improving the Service.
The Service
The Service, including its design, code, and branding, is the intellectual property of Tessellant. Nothing in these Terms grants you any rights to Tessellant's intellectual property beyond the right to use the Service as described herein.
6. AI-Assisted Features
The Service includes AI-assisted enrichment features powered by third-party artificial intelligence providers. When these features are activated by Tessellant:
- Engagement context (item titles, descriptions, notes, and related data) may be sent to a third-party AI provider for analysis.
- AI-generated outputs are advisory only and do not constitute professional advice.
- Tessellant does not guarantee the accuracy, completeness, or suitability of AI-generated content.
7. Service Availability
The Service is provided on an "as is" and "as available" basis. Tessellant does not guarantee any specific level of uptime, availability, or performance. We may modify, suspend, or discontinue the Service at any time, with or without notice.
8. Limitation of Liability
To the maximum extent permitted by law:
- Tessellant's total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the fees paid by you to Tessellant in the twelve (12) months preceding the claim.
- Tessellant shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian law, including liability under the Australian Consumer Law.
9. Termination
Tessellant may suspend or terminate your access to the Service at any time, for any reason, with or without notice. Upon termination:
- Your right to access the Service ceases immediately.
- Tessellant may, but is not obligated to, retain Your Data for a reasonable period to facilitate data export requests.

10. Changes to These Terms
Tessellant may update these Terms from time to time. We will notify affected users of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of Queensland, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Queensland.
